Client Responsibilities
By using our services, you agree to:
• Provide accurate and complete information when requested
• Maintain timely communication with our team
• Approve or review deliverables within reasonable timeframes
• Ensure all content you provide (logos, images, copy, etc.) is legally owned or licensed
You are responsible for complying with all laws and regulations related to your business and the use of our services.
Payments and Billing
• Fees must be paid according to the terms outlined in your agreement, invoice, or subscription.
• All payments are non-refundable unless explicitly stated otherwise.
• Late payments may result in delayed service delivery or temporary suspension.
• You authorize Aphcider to charge any payment method on file when recurring or usage-based charges apply.
Any additional services requested outside the agreed scope may incur extra fees.
Advertising Spend
Clients are solely responsible for their own ad spend unless otherwise stated in writing. We manage ads and campaigns on your behalf, but the actual spend is paid to the advertising platform (Meta, Google, etc.) directly by you.
Results Disclaimer
While Aphcider uses proven systems and strategies, we do not guarantee specific outcomes, including but not limited to:
• Lead volume
• Sales or revenue increases
• Appointment show-up rates
• ROI or performance metrics
Marketing results vary based on multiple factors outside our control, including market conditions, competition, and client responsiveness.
Intellectual Property
All materials created by Aphcider—such as funnels, graphics, ad copy, website layouts, automations, and workflows—remain the intellectual property of Aphcider unless otherwise stated.
Clients receive a license to use these assets only while they are active clients.
Relicensing or transferring assets requires written approval.
Client-Provided Content
Any content you provide is your responsibility. You represent that you own or have permission to use all materials submitted to us.
You agree to indemnify Aphcider for any disputes, claims, or damages arising from unauthorized or illegal content provided by you.
Third-Party Tools and Platforms
Our services may involve the use of third-party platforms such as:
• GoHighLevel (GHL)
• Meta Ads Manager
• Google Ads
• Email/SMS providers
• CRM or automation tools
We are not responsible for downtime, errors, policy violations, or changes implemented by these platforms.
Termination of Services
Either party may terminate the relationship with written notice. Upon termination:
• Outstanding balances must be paid immediately.
• Access to dashboards, funnels, automations, and assets may be revoked.
• No refunds will be issued for partial months or past services.
Limitation of Liability
Aphcider is not liable for:
• Loss of revenue or profits
• Business interruption
• Platform outages or technical issues
• Any indirect, incidental, or consequential damages
Our maximum liability is limited to the amount paid for services during the last 30 days.
Indemnification
You agree to indemnify and hold harmless Aphcider, its owners, employees, and partners from any claims, damages, liabilities, or expenses arising from:
• Your misuse of the services
• Your violation of these Terms
• Any content or materials you provide
Confidentiality
Both parties agree to keep confidential all sensitive business information shared during the working relationship.
This includes client lists, strategies, pricing, internal systems, and proprietary workflows.
Modifications to Terms
Aphcider may update or modify these Terms at any time. The updated version will be posted on our website with the revised date. Continued use of our services constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the state or region where Aphcider operates, without regard to conflict of law principles.
